dc.description.abstract	O abuso de poder muitas vezes é confundido com um abuso no controle da companhia. Todavia esta não é a única forma que o abuso pode se manifestar na relação entre sócios. O abuso no poder de veto é conduta praticada pelo minoritário que por intermédio de ações com poderes especiais ou do contrato de acionistas força os rumos da companhia vetando todas as condutas que não sejam indicadas por ele. Como consequência deste abuso, e da falta de profundidade na qual a lei trata do tema, diversos conflitos podem surgir, inviabilizando a boa gestão do negócio. O presente trabalho visa apontar as condições de abuso do poder de veto e como mitigar tais situações.	pt_BR
dc.description.other	The abuse of power is often mistaken with abuse of control. However this is not the only way the abuse manifests itself between partners. The abuso of the veto clause is a conduct practiced by the shareholder throught misuse of the control. However this is not the only way abuse can manifest itself between the shareholders. The abuse can also happen within the acts of the shareholder wich owns the minorty of the stocks by using the power of veto granted by stocks with special legal rights or by a bylaw. The consequences of this conduct and the lack of deph of brazilian´s legal system in that area many conflicts may arise, therefore making the busisness impossible. This paper intend to define the abuse of the veto power and how to mitigate this scenery.	pt_BR
