| dc.description.abstract | Em linhas gerais, o objetivo do presente trabalho é abordar a problemática envolvendo a possibilidade de resolução de um contrato por descumprimento por uma das partes de cláusula anticorrupção nele existente. Cada vez mais, as partes optam por incluir cláusulas anticorrupção em seus contratos, em especial desde a entrada em vigor da Lei 12.846/13 (Lei Anticorrupção). A redação de tal cláusula precisa estar alinhada com o espírito do contrato e especificar os atos entendidos como corruptos e que ensejariam a resolução. Pretende-se, portanto, iniciar uma discussão jurídica no âmbito da resolução do contrato por prejudicado de boa-fé, por eventual descumprimento de cláusula anticorrupção. | pt_BR |
| dc.description.other | Generally speaking, the purpose of this work is to address the issues involving the possibility of terminating an agreement due to the failure of one party to comply with the anticorruption clause on it. It’s becoming more frequent for the parties to opt for including such anti-bribery clause on its agreements, especially since the enactment of the Law 12,846/2013. The wording of such clauses must be aligned with the spirit of the agreement in general and specify what is understood as being an act of corruption and that as consequence would lead to the termination of the agreement. It intends to start a legal discussion in the scope of the termination of an agreement by those jeopardized in their good-faith due to a breach of an anticorruption clause. | pt_BR |
